01Introduction

Welcome to Unlokr. These Terms of Service (“Terms”) govern your access to and use of our platform, services, and website (collectively, the “Service”). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

02Acceptance of Terms

By creating an account, accessing, or using Unlokr, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all users of the Service, including without limitation users who are creators, subscribers, browsers, vendors, customers, merchants, and/or contributors of content.

03Description of Service

Unlokr is a platform that enables content creators to share exclusive content with their subscribers. We provide tools and services for creators to monetize their content and for subscribers to access premium content. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

04User Accounts

Age Requirement: You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to create an account or use the Service. By creating an account, you represent and warrant that you meet this age requirement. If we discover that an account holder is under 18, we will immediately terminate that account and delete all associated data.

To access certain features of the Service, you must register for an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and identification
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

05User Conduct

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Upload, post, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
• Use automated systems, such as robots, spiders, or scrapers, to access the Service without permission
• Share, distribute, or reproduce any content without proper authorization

06Content and Intellectual Property

Creator Content: You retain ownership of any content you create and upload to the Service. By uploading content, you grant Unlokr a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content solely for the purpose of providing the Service.

Platform Content: All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the property of Unlokr or its content suppliers and are protected by international copyright, trademark, and other intellectual property laws.

Subscriber Access: Subscribers may access and view content for personal, non-commercial use only. Subscribers may not download, copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any content without the express written permission of the creator and Unlokr.

07Payments and Billing

Subscription Fees: Subscribers agree to pay the subscription fees as displayed on the Service. All fees are in the currency specified and are non-refundable except as required by law or as otherwise stated in these Terms.

Creator Earnings: Creators will receive payments according to the payment schedule set out in the creator onboarding flow and displayed in their account dashboard. Unlokr takes a platform fee on each transaction — currently 3% per sale, plus the payment processing fees charged by our payment providers — which is disclosed at the time of onboarding and may be updated with 30 days' notice. Unlokr reserves the right to withhold or delay payments in cases of suspected fraud, chargebacks, violation of these Terms, or other misconduct, pending investigation.

Payment Processing: Payments are processed through third-party payment processors. By using the Service, you agree to be bound by the terms and conditions of these payment processors.

Price Changes: We reserve the right to change our pricing at any time. We will provide reasonable notice of any price changes.

08Refund Policy

Subscription fees are generally non-refundable once a billing period has commenced and content has been accessed. However, we will provide refunds in the following circumstances:

• Billing errors: Incorrect charges or duplicate transactions will be refunded in full.
• Technical failure: If a material technical issue prevents access to paid content for an extended period and is attributable to Unlokr, a pro-rated refund or service credit may be issued.
• Statutory rights: If you are a consumer in the European Union or United Kingdom, you may have a statutory 14-day cooling-off right for digital services, unless digital content delivery has commenced with your prior consent and acknowledgment that you thereby waive this right. Nothing in these Terms limits your statutory consumer rights.

Refund requests must be submitted within 30 days of the transaction date to support@unlokr.app. We will review all requests and respond within 10 business days.

09Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings. Upon termination, all data associated with your account may be deleted, and you will lose access to all content and features of the Service.

10Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

11Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNLOKR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

12Indemnification

You agree to indemnify, defend, and hold harmless Unlokr, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

13Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after any changes to these Terms constitutes acceptance of those changes.

14Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

Dispute Resolution: Before initiating formal legal proceedings, you agree to first contact us at support@unlokr.app and attempt to resolve the dispute informally. If the dispute is not resolved within 30 days, either party may pursue formal legal remedies.

Class Action Waiver: To the extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Unlokr.

16Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

17Copyright Infringement (DMCA Notice & Takedown)

Unlokr respects the intellectual property rights of others and expects users of the Service to do the same. If you believe that content available on the Service infringes your copyright, you may submit a takedown notice to our designated copyright agent. To submit a valid takedown notice, provide:

• Your physical or electronic signature (or that of a person authorized to act on behalf of the copyright owner)
• Identification of the copyrighted work you claim has been infringed
• Identification of the material claimed to be infringing and its location on the Service (e.g., URL)
• Your contact information (name, address, telephone number, and email address)
• A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf

Upon receipt of a valid notice, we will remove or disable access to the allegedly infringing content and notify the uploader. The uploader may submit a counter-notice if they believe the content was removed in error. Repeat infringers will have their accounts terminated.

Misrepresentation Warning: Under applicable law, any person who knowingly and materially misrepresents that material is infringing may be liable for damages, including costs and attorneys' fees.

18Force Majeure

Unlokr shall not be liable for any failure or delay in performance of its obligations under these Terms arising out of or caused by events beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government action or regulation, power failures, internet or telecommunications outages, cyberattacks, fire, flood, pandemic, or failure of third-party service providers. In such events, our obligations will be suspended for the duration of the force majeure event. We will use reasonable efforts to notify you of any such event and to resume normal service as soon as practicable.

19Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Unlokr with respect to the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties. No failure by Unlokr to enforce any right or provision of these Terms shall constitute a waiver of that right or provision.

By using Unlokr, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
